This is an opportunity to be part of an award-winning company secretarial business –one of the largest company secretarial providers in the UK and is well-known for its expertise in corporate governance advisory services and company secretarial administration.
With offices globally, the team provides support to domestic and international clients with all aspects of their company secretarial and governance needs and have a long-standing reputation of providing class-leading services to UK listed businesses. Our particular specialism is supporting companies through IPOs and working with Investment Trusts.
You will manage a varied portfolio of clients, including high profile listed companies, providing end to end support, covering board facing responsibilities, statutory and regulatory compliance, governance and best practice advice
Responsibilities will include (but not limited to)
- Attending client Board and Committee meetings in a minute taking and advisory capacity, presenting relevant papers to the meeting, circulating minutes and actions promptly.
- Advising clients on compliance with Companies Act 2006, UK Listing Rules, DTRs, UK Corporate Governance Code, AIC Corporate Governance Code, AIM Rules and QCA Code of Corporate Governance and Market Abuse Regulations.
- Immediate Board level exposure to work as direct point of contact to client Chairs, Non-Executive Directors and Executive management teams.
- Excellent communication skills with ability and confidence to build key relationships with all stakeholders throughout a client’s business.
- Supporting clients through Initial Public Offering (IPO) and corporate transactions.
- Annual and Half-Yearly Report end-to-end project management ensuring governance sections are compliant with all required UK regulation and coordination of the AGM.
- Drafting, presenting and implementing papers to support the corporate governance framework of client companies.
- Opportunity to contribute to theTechnical Committee.
- Potential overseas travel and throughout the UK.
- Planning, co-ordinating and attending client General Meetings in conjunction with Registrar.
- Assisting clients deal with proxy voting agencies and investor engagement.
- Co-ordinating renewal of Directors’ & Officers’ liability insurance.
- Production of Corporate Calendars.
- Drafting and review/release of RNS announcements to the London Stock Exchange.
- Managing the profitability of clients.
- Being available to review the work of colleagues as part of our “four eyes” policy.
- Willingness to contribute to and present at internal and external events and webinars.
Accountabilities
- Team performance & development: take ownership for own performance and skill development. Where relevant, assist with mentoring/guidance of less experienced colleagues, providing input/feedback into appraisals where required

- Leadership: understand and contribute to achieving the vision set out by leaders. Look for opportunities to lead within direct team. Work collaboratively within team and wider business
- Group knowledge: have a good understanding of core business structures, processes, management and disciplines. Autonomously identify knowledge gaps and rectify. Advise more junior members of the team
- Technical knowledge: autonomously identify and develop technical knowledge relevant to job role. Share knowledge gained
- Business knowledge: good knowledge required on key issues in own business area. Basic knowledge required of other company propositions
- Chargeable hours: autonomously maintain accurate reports of time spent on billing modules. Ensure that all time charged is justified and is in line with internal policies/procedures
- Relationship management: build effective relationships within own team, identify and engage with key individuals/contacts within wider business. If client facing, build relationships with intermediaries, third parties and identify key client contacts so as to be seen as the first point of contact
- Sales: identify and develop sell-on/ cross -sell opportunities with clients and support senior colleagues to deliver new name sales within the business
- Influencing: achieve specific outcomes with stakeholders by building consensus and resolve conflict
- Data integrity/reporting: take responsibility for quality and accuracy of own data
- Mandatory training: complete all mandatory training as per the training calendar and actively remind others to do so.
- Policies and procedures: autonomously and proactively ensure knowledge of and compliance with company policies and procedures and keep up to date with amendments.
- Risk: ensure that all weaknesses/incidents identified in relation to service delivery/internal processes are reported to a manager, recorded and appropriate actions are implemented
- Legal & regulatory: have achieved and maintain an understanding of relevant legal and regulatory requirements.
- Verbal communication & presentation: present ideas effectively, using appropriate language and tone. May present 1:1, in small or large Groups, where appropriate may present to other areas within the business or to a small number of external clients
- Written communication: autonomously produce consistent, high-quality work. For external clients, where required, use approved procedures and complete in accordance with SLA's.
Experience & Personal Attributes
To be considered you must be CGI qualified or equivalent and have demonstrable experience applying your working knowledge of UK company law, regulation and best practice. You will ideally have listed company, board facing and/ or investment trust experience or worked in a professional services environment within a company secretarial remit.
